Assuming PCREFRESH is completed, functional, tested and legally transferable, the indicative value of the entire portfolio would depend on its commercial performance:
$25,000–$100,000 CAD: Completed software without meaningful sales or users.
$75,000–$250,000 CAD: Independently tested product with early paying customers.
$250,000–$750,000 CAD: Established software business with recurring revenue and demonstrated customer retention.
$750,000–$1,500,000+ CAD: Profitable software business supported by strong commercial evidence.
These are conditional planning estimates, not a formal appraisal or verified comparable-sale valuations. Actual value may fall outside these ranges.
Full acquisition: Payment of the mutually agreed purchase price at closing.
Installment purchase: Negotiated upfront payment followed by scheduled payments under a legally binding agreement.
Revenue-based arrangement: Upfront payment plus a defined percentage of qualifying software revenue.
Hybrid acquisition: Upfront payment, fixed installments and a negotiated revenue royalty.
All payment amounts, royalty definitions, security provisions, default remedies and transfer conditions would be finalized through legal negotiations.
The final purchase price would reflect verified software functionality, code quality, cybersecurity testing, intellectual-property ownership, customer numbers, recurring revenue, operating expenses, profitability and growth potential. No particular valuation or revenue level is guaranteed by completing development alone.
Objective: Establish a fair, evidence-based acquisition price for the complete Bearclan Bookz Studios portfolio, with PCREFRESH valued according to its verified technical quality and commercial performance.
