Acquisition Opportunity

Bearclan Bookz Studios offers a portfolio of websites, publishing assets, original content, brand intellectual property, clothing-brand assets and PCREFRESH, a planned PC maintenance and security software suite.

The proposed acquisition would include eligible, transferable intellectual property, software code, branding, websites and associated business assets, subject to due diligence and documented ownership.

Estimated Portfolio Valuation

Assuming PCREFRESH is completed, functional, tested and legally transferable, the indicative value of the entire portfolio would depend on its commercial performance:

• $25,000–$100,000 CAD: Completed software without meaningful sales or users.

• $75,000–$250,000 CAD: Independently tested product with early paying customers.

• $250,000–$750,000 CAD: Established software business with recurring revenue and demonstrated customer retention.

• $750,000–$1,500,000+ CAD: Profitable software business supported by strong commercial evidence.

Proposed Payment Structures

1. Full acquisition: Payment of the mutually agreed purchase price at closing.

2. Installment purchase: Negotiated upfront payment followed by scheduled payments under a legally binding agreement.

3. Revenue-based arrangement: Upfront payment plus a defined percentage of qualifying software revenue.

4. Hybrid acquisition: Upfront payment, fixed installments and a negotiated revenue royalty.
